These Terms and Conditions govern your access to and use of our website at www.vhirtech.shop, our services, applications, and products. By accessing or using our services, you agree to be bound by these terms. If you do not agree, please do not use our services. Acceptance of Terms By accessing, browsing, or using our website and services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions. You must be at least 18 years old or have parental or guardian consent to use our services. Definitions Client refers to any individual, business, or entity that engages our services. Services refers to web development, mobile app development, digital solutions, consulting, and any other services offered by VHIR Tech. Content refers to any text, images, videos, code, or other materials on our website. User Data refers to information provided by users through forms, accounts, or interactions. Services We Provide VHIR Tech provides custom web application development, mobile application development for iOS and Android, SaaS product development, digital consultation and strategy, UI/UX design services, technical support and maintenance, e-commerce solutions, and API integrations. We reserve the right to modify, suspend, or discontinue any service at any time without prior notice. User Accounts When creating an account with us, you must provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials, all activities that occur under your account, and notifying us immediately of any unauthorized use. We reserve the right to suspend or terminate accounts that violate our terms. Payment Terms All prices are quoted in Bangladeshi Taka or US Dollars unless otherwise specified. Prices are subject to change without notice, though existing contracts will be honored at agreed rates. We accept payments through bKash, Nagad, Rocket, bank transfers, international wire transfers, and credit or debit cards where applicable. For small projects under 50,000 BDT, payment is 50 percent advance and 50 percent on delivery. For medium projects between 50,000 and 500,000 BDT, payment is 40 percent advance, 30 percent mid-way, and 30 percent on delivery. For large projects over 500,000 BDT, a custom milestone-based payment schedule will be arranged. Monthly retainers are due on the first of each month. Payments overdue by more than 7 days may incur a 2 percent monthly late fee. Services may be suspended for payments overdue by 30 or more days. Refund Policy Consultation fees are non-refundable once the service is rendered. Project advances are refundable within 7 days if work has not commenced. Completed milestones are non-refundable. Subscription services offer a pro-rated refund within 14 days of purchase. Intellectual Property Rights All content on our website, including text, graphics, logos, icons, images, code, and software, is the property of VHIR Tech and is protected by copyright, trademark, and other intellectual property laws. Upon full payment, clients receive ownership rights to custom-developed code and designs specifically created for their project, except for third-party libraries and frameworks which are subject to their respective licenses, pre-existing VHIR Tech proprietary code and tools, and generic UI patterns and industry-standard implementations. We reserve the right to showcase completed projects in our portfolio, case studies, and marketing materials unless a Non-Disclosure Agreement explicitly prohibits this. Client Responsibilities As a client, you agree to provide accurate project requirements, deliver necessary content and access in a timely manner, respond to feedback requests within 5 business days, test and provide feedback on deliverables promptly, make payments according to the agreed schedule, and not use our services for illegal or harmful purposes. Prohibited Uses You may not use our services for any unlawful, harmful, threatening, abusive, or defamatory purpose. You may not violate any local, state, national, or international law. You may not transmit viruses, malware, or malicious code. You may not engage in spamming or unsolicited advertising. You may not collect user information without consent. You may not impersonate any person or entity. You may not interfere with or disrupt our services or attempt to gain unauthorized access to our systems. Project Timeline and Delivery Project timelines are estimates and may vary based on complexity and client feedback speed. Delays caused by the client, including late content, feedback, or approvals, will extend delivery dates. Force majeure events such as natural disasters, pandemics, and government actions may delay delivery without penalty. Rush delivery is available at additional cost. Revisions and Changes Standard packages include 2 to 3 rounds of revisions. Additional revisions are billed at our hourly rate. Major scope changes require a new proposal and estimate. Change requests must be submitted in writing. Confidentiality We treat all client information and project details as confidential. We will not disclose your business information to third parties without your written consent, except as required by law. For sensitive projects, we can sign a Non-Disclosure Agreement upon request. Warranties and Disclaimers We warrant that our services will be performed with professional skill and care. We will fix any bugs in delivered code free of charge within 30 days of delivery. Our services are provided as-is without any warranties beyond those explicitly stated. We do not guarantee uninterrupted or error-free operation, specific business results or return on investment, compatibility with all future technologies, or third-party service reliability. Limitation of Liability To the maximum extent permitted by law, VHIR Tech shall not be liable for indirect, incidental, special, or consequential damages, loss of profits, revenue, data, or business opportunities, damages exceeding the amount paid for the specific service, or damages caused by third-party services or content. Indemnification You agree to indemnify and hold harmless VHIR Tech, its employees, and affiliates from any claims, damages, or expenses arising from your use of our services, your violation of these terms, your violation of any third-party rights, or content you provide to us. Termination You may terminate services with 30 days written notice. Payment for work completed up to the termination date is due immediately. We may terminate services if you fail to make payments as agreed, violate these terms, provide false information, or engage in abusive or harmful behavior toward our team. Third-Party Services Our services may integrate with third-party services such as payment gateways, cloud providers, and APIs. We are not responsible for third-party service failures, changes, or terms. Modifications to Terms We reserve the right to modify these terms at any time. Changes will be posted on this page with an updated last modified date. Continued use of our services after changes constitutes acceptance of the new terms. Governing Law and Jurisdiction These terms are governed by the laws of the People's Republic of Bangladesh. Any disputes shall be resolved in the courts of Dhaka, Bangladesh. For international clients, arbitration under ICC rules may apply, conducted in English. Dispute Resolution Before pursuing legal action, both parties agree to attempt resolution through direct negotiation for 30 days, then mediation with a mutually agreed mediator for 30 days, and finally formal arbitration or court proceedings if necessary. Force Majeure Neither party shall be liable for delays or failures caused by events beyond reasonable control, including natural disasters, wars, pandemics, government actions, or internet outages. Severability If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect. Entire Agreement These terms, together with any specific service agreements, constitute the entire agreement between you and VHIR Tech regarding the use of our services.
